1. BACKGROUND.

1.1. The Nelson Nkalubo Sebugwawo Foundation is a non-profit making and apolitical entity established in 2007 registered with the Registrar of Companies on the 28th March, 2007 as a company limited by guarantee.

1.2. The Foundation’s headquarters are situate at Nkumba Village, Entebbe at the residence of the Late Omutaka Nelson Nkalubo Sebugwawo with a postal address of P.O. Box 135, Entebbe Uganda.

2. OBJECTIVES OF THE FOUNDATION.

2.1. The foundation’s major objectives are to hold and preserve the foundation’s property, to execute and perform any condition affecting the property, to own, acquire, develop and deal with any undertaking that affects the foundation’s property as well as acquire any form of property on behalf of the foundation.

2.2. The foundation is also mandated to invest monies of the foundation and carry on any business that the foundation deems fit in escalating the purpose and objectives of the foundation.

2.3. The foundation is also at liberty to engage into any activity that it finds necessary to achieve its objectives.

3. ORGANS OF THE FOUNDATION.

3.1. The foundation is set up with two governing bodies that is the Board of Trustees and the Board of Directors.

3.2. The foundation also has a Patron who is the titular head of the foundation.

3.3. The Board of Trustees.

3.3.1. The board of trustees is composed of 7 members comprised of Chairperson and six board members.

3.3.2. The roles of the board of trustees include;
• To act as principal custodian of the foundation.
• To act as custodian of the foundation’s property.
• To make decisions regarding the foundation’s property.
• To appoint he board of directors.
• To delegate any of its duties apart from those concerned with the transfer,
acquisition and utilisation of the foundations property.
• To keep the patron appraised of the foundation’s activities.

3.3.3. The current board of Trustees is constituted of the following members;

3.4. The Board of Directors.

3.4.1. The foundation has a board of trustees composed of 9 members inclusive of a Chairperson, deputy chairperson, secretary and Six board members.
3.4.2. The roles of the board of directors include;
• To identify the key functions considered appropriate to the realisation of the foundation’s activities.
• To direct and guide the foundation’s activities towards meeting its stated objectives.
• To manage the foundation’s financial and other resources so as to ensure its continued viability.
• To draw up the foundation’s overall operational plan based on the objectives
therein.
• To examine and consider financial reports prepared at given intervals so as to
ensure accountability of the foundation’s funds.
• To set up short and long term committees or similar bodies considered necessary to execute the foundations functions.
• To act as the final authority in the appointment of the foundation’s activities.
• To apply concerted efforts and otherwise mobilise funds locally or from
abroad so as to finance /sustain the foundation’s programmes and projects.
• To propagate the foundation’s activities and programmes and promote its image both locally and internationally.
• To secure the long term partnership of the foundation and its associates materially.
• To carry out any act that the board deems fit in promoting the foundation’s activities.
3.4.3. The current board of directors is comprised of the following members;

• Mr. Edward Nsimbe
• Ms. Edith Tusubira
• Mr. Misha Muyingo
• Mr. Steven Lumala Bulega
• Mr. Belton Kibuuka
3.4.4. The board of directors is elected for a period of three years from the date of
appointment but a board member can be reappointed for subsequent terms.
3.5. The Patron.
3.5.1. The foundation has a patron and the first patron was the Late Nelson Nkalubo
Sebugwawo who was patron for life.
3.5.2. The role of the foundation’s patron is to act as the principal public relations promoter
and chief mobiliser to fulfil the foundation’s objectives.
3.5.3. The foundation’s patron is also tasked with presiding over the foundation’s functions as and when they arise.
3.5.4. The foundation through an annual general meeting of the board of trustees and board of directors can appoint a patron of the foundation.
3.5.5. The current patron is Mrs. Maria Kiwanuka, appointed during the AGM held in March2022.

4. MEMBERSHIP OF THE FOUNDATION.

4.1.1. The membership of the foundation is open to all children and grandchildren of Mr. Nelson Nkalubo Sebugwawo on payment of the prescribed membership charges.
4.1.2. The membership charges/fees of the foundation are to be prescribed by the Board of
Trustees from time to time.
4.1.3. The current membership charges per year are UGX 180,000 (One hundred eighty Thousand Shillings) for children and grandchildren residing in Uganda, USD 50 (Fifty United States Dollars) for children and grandchildren residing in the diaspora.

5. ACHIEVEMENTS SO FAR

5.1. The foundation has so far managed to refurbish the home of the Late Nelson Nkalubo
Sebugwawo in Nkumba. For example: among other renovations, the main house was rewired, ceiling was overhauled, internal water system improved, and a retaining wall built around the main homestead.
5.2. The Foundation has maintained the family property vested into the hands of the foundation by fighting off land grabbers and encroachers.
5.3. The foundation gave ex gratia money to the children and grandchildren of the late Nelson Nkalubo Sebugwawo as covid relief during the covid-19 pandemic.
5.4. The Foundation has promoted cohesion and unity through documenting all details, information and contacts about the children and grandchildren of the Late Nelson Nkalubo Sebugwawo.

6. FUTURE PLANS

6.1. The foundation governing organs intend to make the foundation a financially selfsustaining
entity with profit making projects.
6.2. Some of the intended projects include a proposed museum at the residence of the late Nelson Nkalubo Sebugwawo to document and preserve the family lineage for generations to come.
6.3. Other intended projects include setting up an amusement garden/park which among others hosts functions and occasions at a fee.
6.4. In addition to several planned agricultural projects, the foundation intends to preserve and maintain the existing banana/matoke plantation (lusuku) at the homestead.
6.5. All in all the foundation intends to keep uniting and promoting cohesion among the children and grandchildren of the late Nelson Nkalubo Sebugwawo.
